Terms and Conditions of Use

By accessing and using Dental Procure ("Website"), you agree to comply with and be bound by these Terms and Conditions. If you disagree with these Terms, you should not use Dental Procure or the Website.

Purpose

Dental Procure Inc. operates a group purchasing organization that negotiates discounts with approved vendors on behalf of participating clinics. By entering into this agreement, the Clinic agrees to the terms and conditions set forth herein to participate in Dental Procure Inc.’s group purchasing program.

Vendor Relationships

  1. Direct Vendor Dealings Prohibited: Clinic agrees not to enter into direct agreements with Dental Procure Inc. vendors to obtain group-negotiated pricing outside of the Dental Procure Inc. program. If a vendor attempts to bypass Dental Procure Inc. and offer the same pricing directly to the Clinic, the Clinic must notify Dental Procure Inc. and decline the offer. Working together will help Dental Procure Inc. grow and keep offering value to its members. 

  2. Rebate & Financial Retention: Any rebates, incentives or financial benefits offered by vendors will be retained by Dental Procure Inc. 

  3. Timely Payment Requirement: Clinic agrees to pay vendors directly and in a timely manner in accordance with each vendor’s terms. Failure to fulfill payment obligations may result in immediate termination from the group.

  4.  No Guarantee: Dental Procure Inc. does not guarantee specific pricing, product availability, or terms from vendors, though it will use commercially reasonable efforts to negotiate favourable terms for participating clinics. 

  5.  Price-Match: Dental Procure Inc. may have price-match incentives for Clinic through participating vendors. If the Clinic finds better pricing, they should ask for a price match from existing vendors.

Clinic Obligations

  1. The Clinic shall make reasonable efforts to direct applicable supply, materials and equipment purchases through Dental Procure Inc. approved vendors.

  2.  Clinic Acknowledges that all pricing, terms, and communications provided by Dental Procure Inc. are confidential and proprietary.

  3. Clinic shall not disclose negotiated pricing or terms to third parties

Limitation of Liability

  1. Dental Procure Inc. is not responsible for vendor performance, product quality, pricing accuracy, or any losses arising from vendor relationships. Clinic agrees to hold Dental Procure Inc. harmless from any related disputes.

  2. Dental Procure Inc. is not responsible for the Clinics ordering process nor is it responsible to pay for the Clinics invoices. 

Force Majeure


1. Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to acts of God, war, natural disasters, pandemics, government action, or power outages.

Independent Relationship

  1. Nothing in this Agreement creates a partnership, joint venture, or employment relationship between the parties.

Intellectual Property Rights

All content, materials, designs, layouts, graphics, logos, domain names, and other intellectual property found on this Website are the property of Dental Procure or its licensors and are protected under Canadian and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit any content on the Website for commercial purposes without our express written consent.

Unless otherwise expressly stated, all content and materials available on Dental Procure (the "Website") including but not limited to text, graphics, logos, images, software, and vendor-related content are the intellectual property of Dental Procure and/or its licensors and are protected by applicable intellectual property laws in Canada and internationally.All intellectual property rights are reserved.
